SECTION 198 TO 202 OF THE COMPANIES ACT 1985 ('The Act')

On 18 October 2001, Holidaybreak plc received the following notification from
CGNU plc, PO Box 89, Surrey Street, Norwich NR1 3DR in fulfilment of the
obligations imposed by sections 198 to 202 of the Act.  The notification
relates to issued ordinary shares of 5p each in the capital of Holidaybreak
plc ('shares') and was prompted by sales totalling 398,500 and purchases
totalling 260,000 on 15 October 2001.

1.  Notification on behalf of Morley Fund Management Limited (a subsidiary of
CGNU plc)

Notification on behalf of Morley Fund Management Limited that immediately
after the time when the obligation to make the notification arose Morley Fund
Management Limited were interest in 5,964,064 shares.

The identity of the registered holders of the shares to which this
notification relates and the number of shares held by each of them are set out
in the schedule below.

2.  Notification on behalf of CGNU plc

Notification on behalf of CGNU plc that immediately after the time when the
obligation to make the notification arose CGNU plc were interested in
5,964,064 shares giving the CGNU group a total percentage material interest in
the shares of 12.88%.

The identity of the registered holders of the shares to which the notification
relates and the number of shares held by each of them are set out in the
Schedule below.
