NOTICE OF SHAREHOLDER MEETING

The Directors of HVPE are pleased to invite the Company's shareholders to attend an informal meeting in London on Monday 15^th June. The meeting will be held at the offices of JP Morgan, 60 Victoria Embankment, London, EC4Y 0JP and will commence at 15.00 for a 17.00 close. Representatives of HVPE will include:

Sir Michael Bunbury - HVPE Chairman
Brooks Zug - HVPE Director and co-founder of HarbourVest Partners
Peter Wilson - HVPE Director and member of the HarbourVest Partners Executive Management Committee
Richard Hickman - Associate Director, Portfolio Development
Billy Macaulay - Portfolio Manager

The agenda includes the discussion of proposed changes to shareholders' rights and to the Company's corporate governance arrangements, which are required ahead of the proposed move to the Main Market of the London Stock Exchange. There will be a presentation followed by an opportunity for questions and informal discussion, with the intention that shareholders are fully informed of the process by which the Company will seek approval in the period leading up to early September 2015. In July, shareholders will receive a Circular, in which the required changes will be communicated more formally. In late August 2015, the Company expects to hold an Extraordinary General Meeting where shareholders will be asked to vote in favour of the proposed measures.

The Directors and representatives of HVPE very much hope that the Company's shareholders will consider attending the meeting in person. The meeting will also be available to attend by videoconference or teleconference using the below and enclosed details.
