Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ('PMDR') or Connected Persons  

This notification relates to a transaction notified in accordance with Disclosure Rules 3.1.4R(1)(a).  

On 9th September 2009, Hargreaves Lansdown plc received notification that Mr Andrew Christian, a PMDR, sold a total of 400,000 ordinary shares at a price of 281p per share.  

Mr Christian's resultant share holding has reduced by 0.08% as a result of this transaction and is currently 4,627,975 ordinary shares representing 0.98% of issued share capital.  

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PMDR transaction. The transaction took place in Bristol on 9th September 2009.
