Notification of Transaction of Directors, Persons Discharging Managerial Responsibility ("PDMR") or Connected Persons  

On 20^th June 2012, the Company received notification that Mr Mark Dampier, a PDMR, sold a total of 4,600 Hargreaves Lansdown PLC 0.4p ordinary shares at a price of 514.62 pence per share.  

The total number of ordinary shares sold represents 0.001% of the ordinary shares in issue.

Mr Dampier's resultant shareholding is 936,262 ordinary shares which represents 0.20% of issued share capital.    

Hargreaves Lansdown (Nominees) Limited is the registered shareholder as nominee for the above PDMR.  The transaction took place in Bristol on 20^th June 2012.
