Hays plc announces that it has on 15 April 2002 acquired 6,856 shares in Hays
France SA (representing 0.4% of the share capital) from Mr X F E Urbain, a
director of Hays plc, for a total cash consideration of £984,000.

Mr Urbain's shareholding in Hays France SA resulted from an earn-out incentive
arrangement which was implemented when the continental logistics operations of
Mayne Nickless, for which he then worked, were acquired by Hays in August 1997.
In connection with the maturity of this incentive arrangement, Hays has now
acquired the outstanding minority interest in Hays France SA at a total cost of
£1.23 million.
