Hays plc (the 'Company')

The Company has been notified that on 18 September 2000 the Hays Employee
Share Trustee (Jersey) Limited (the 'Trust') purchased 966,683 Ordinary shares
of 1p each in the Company.  These shares were purchased following receipt by
the Trust of a recommendation from the Company in relation to certain
employees of Hays' subsidiaries, who were in possession of such shares
pursuant to the Hays plc 1989 Executive Share Option Scheme, the Hays plc 1995
Executive Share Option Scheme and the Hays plc 1996 Company Share Option Plan.
 The agreed price of the shares was 417p per share.  The following directors
of Hays plc are potential beneficiaries under the Hays Employee Share Trustee
(Jersey) Limited: R E Frost, J R Cole, K P Charlton, N A McLachlan, R J
Morgan, D C Tibble, X F E Urbain, D R Waxman and G J Williams.
