                          Long Term Co-Investment plan


The Remuneration Committee of Hays plc have issued invitations to participate in
the 2004 award of the Long Term Co-Investment Plan ('the Plan') to selected
senior staff. Invitations to participate in the Plan were issued to the
following directors on 21 December 2004:


Name:                        Maximum number of Ordinary 1p Shares each director
                             may commit to the Plan:

JW Martin                    100,000

DR Waxman                    118,000



Directors must confirm whether or not they wish to commit shares to the Plan no
later than the commitment date of 21 June 2005.
