The Company has been notified that today Hays Employee Share Trustee (Jersey)
Limited exercised an option to purchase 4 million Ordinary shares of 1p each in
the Company at an exercise price of £2.69 each. This option had originally been
purchased by Hays Employee Share Trustee (Jersey) Limited on 13 December 1996
for a total premium of £2,049,500. The following directors of Hays plc are
potential beneficiaries under the Hays Employee Share Trustee (Jersey) Limited:
