The Company has been notified that on 9 March 2000 the Hays Employee Share
Trustee (Jersey) Limited (the 'Trust') purchased 2,000,000 Ordinary shares of 1p
each in the Company at an average price of 339p each.  The following directors
of Hays plc are potential beneficiaries under the Hays Employee Share Trustee
(Jersey) Limited:  R E Frost, J R Cole, K P Charlton, N A McLachlan, R J Morgan,
D C Tibble, X F E Urbain, D R Waxman and G J Williams.
