Hays plc (the 'Company')

The Company has been notified that on 6 September 2000 the Hays Employee Share
Trustee (Jersey) Limited (the 'Trust') purchased 1,500,000 Ordinary shares of
1p each in the Company at a price of 418p each and that on 7 September 2000
the Trust purchased 1,350,000 Ordinary shares of 1p each in the Company at an
average price of 420p each. The following directors of Hays plc are potential
beneficiaries under the Hays Employee Share Trustee (Jersey) Limited: R E
Frost, J R Cole, K P Charlton, N A McLachlan, R J Morgan, D C Tibble, X F E
Urbain, D R Waxman and G J Williams.
