Hays plc - Bonus Issue

Hays plc announces that at the Extraordinary General Meeting held earlier today
all resolutions were passed.  Accordingly, a bonus issue will be implemented on
the basis of one new ordinary share of 1p, credited as fully paid, for each
existing ordinary share of 1p held by each shareholder on 21 January 2000.  The
new shares will rank pari passu with the existing Ordinary Shares. 

Application has been made for the new shares to be admitted to the Official
List.  It is expected that dealings in the new shares will commence on Monday,
24 January 2000.
