Headlam Group plc ('Headlam' or 'Company')

Notification under paragraph 3.1.2R of the Disclosure and Transparency Rules 

Headlam announces that it has been notified today that Mrs D Waldron, the spouse of Mr G Waldron (a person discharging managerial responsibilities within Headlam) purchased 50,000 ordinary shares in the Company at a price of 393.31 pence per share on 13 May 2008.  

Following this transaction, Mr G Waldron is beneficially interested in 360,638 ordinary shares in the Company, representing approximately 0.43% of the issued share capital of Headlam. 

Further, Headlam announces that it has been notified today that Mr A J Brewer (a person discharging managerial responsibilities within Headlam) purchased 50,000 ordinary shares in the Company at a price of 393.31 pence per share on 13 May 2008.  

Following this transaction, Mr A J Brewer is beneficially interested in 502,211 ordinary shares in the Company, representing approximately 0.60% of the issued share capital of Headlam. 

Headlam also announces that it has been notified today that Mr S G Wilson (a person discharging managerial responsibilities within Headlam) purchased 56,000 ordinary shares in the Company at a price of 393.31 pence per share on 13 May 2008.  

Following this transaction, Mr S G Wilson is beneficially interested in 400,770 ordinary shares in the Company, representing approximately 0.48% of the issued share capital of Headlam. 

The place of these transaction was the London Stock Exchange.
