Headlam Group plc - DISCLOSURE OF INTEREST IN SHARES

Headlam Group plc has today received the following notification in respect of
notifiable interests in the ordinary voting shares of 5p of the company.

In accordance with s198 Companies Act 1985, this is to notify you that Sun Life
Assurance Company of Canada (UK) Limited currently controls 2,515,498 shares in
Headlam Group plc.

We believe that as at 12 June 2003, Headlam Group plc has issued 84,137,601
shares which indicates that Sun Life Assurance Company of Canada (UK) Limited
holds a total interest of 2.99% of the outstanding issue size. This reduction
below the notifiable interest limit resulted from a sale of 150,000 shares,
trade date 10 June 2003.

Credit Suisse Asset Management Limited is making this disclosure on behalf of
Sun Life Assurance Company of Canada (UK) Limited to whom we act as
