Headlam Group plc - DISCLOSURE OF INTEREST IN SHARES

On 20 December 2005 Headlam Group plc received the following in respect of
notifiable interests in the ordinary voting shares of 5p of the company.
We hereby give notice for the purposes of Part VI of the Companies Act 1985 that
today we have become aware that Aberforth Smaller Companies Trust plc has a
notifiable interest in 2,744,600 Ordinary shares of 5p each which, based on the
information available to us, represents 3.17% of the issued share capital of the
above company.
