Following the intention to float announcement on 19 September 2019, Helios Towers plc ("the "Company" and together with Helios Towers, Ltd. and its subsidiaries and subsidiary undertakings, the "Group" or "Helios Towers"), today announces the successful pricing of its initial public offering (the "Global Offer") at 115 pence per Share (the "Offer Price"). Based on the Offer Price, the Company's market capitalisation will be approximately £1.15 billion at the commencement of conditional dealings on the main market of the London Stock Exchange plc.
Global Offer Highlights
· The Offer Price has been set at 115 pence per Share.
· The Global Offer comprises 86,386,373 million new ordinary shares (the "Shares") issued by the Company to raise gross proceeds of £99 million and 131,004,931 million Shares being sold by the selling shareholders, equating to a total offer size of £250 million and representing 21.7 per cent. of the Company's issued share capital on the proposed admission of the Shares to the premium listing segment of the Official List and to trading on the main market for listed securities of the London Stock Exchange plc ("Admission"), excluding the over-allotment option.
· Immediately following Admission, the Company's issued share capital is expected to be 1,000 million Shares.
· On a fully diluted basis, the Company's equity value is expected to be approximately £1,150 million.
· An additional 32,608,696 Shares representing 15 per cent. of the total number of Shares comprised in the Global Offer has been made available by the selling shareholders pursuant to the over-allotment option.
Admission and Dealings:
· Conditional dealings in the Shares are expected to commence on the main market of the London Stock Exchange plc at 8.00 am (UK time) on 15 October 2019 under the ticker "HTWS".
· Admission and the commencement of unconditional dealings is expected to take place at 8.00 am (UK time) on 18 October 2019.

Further Information:
· The Company, the selling shareholders and other individual and corporate existing shareholders will be subject to a 180-day lock-up from the date of Admission. The directors (other than Richard Byrne) and certain employees of the Group will be subject to a 365-day lock-up from the date of Admission. The lock-ups are subject to certain customary exceptions and may only be waived with the prior written consent of the Joint Global Co-ordinators. Richard Byrne has agreed to a lock-up on the same terms for a period of 180 days.
