Acquisition of corporate member
Hampden Underwriting, which provides investors with a limited liability direct investment into the Lloyd's insurance market, announces that further to the announcement on 28 September 2012 of its agreement to acquire Nameco (No. 917) Limited, it has received the necessary regulatory approval and the acquisition has completed.
Application has been made for the 1,113,572 new ordinary shares issued as consideration for the acquisition to be admitted to trading on AIM and this is expected to become effective on 5 October 2012. Following the issue of the new shares: (i) Nigel Hanbury (a director of the Company) will be interested in 1,261,257 ordinary shares (representing 14.79% of the Company's enlarged issued share capital); and (ii) the Company will have 8,526,948 ordinary shares in issue with each share carrying the right to one vote. There are no shares held in treasury. The total number of voting rights in the Company is therefore 8,526,948 and this figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
