Update re Annual General Meeting ('AGM')
Helios, the unique investment vehicle which acquires and consolidates underwriting capacity at Lloyd's, announces that, following the UK Government's decision on 14 June 2021 that the restriction on no more than six people being able to meet indoors shall remain in place until at least 19 July 2021, it is no longer permissible for shareholders to attend the Company's AGM.
Accordingly, the AGM will be held behind closed doors at the City of London Club and the Board will ensure a quorum is present but, regrettably, no additional shareholders will be able to attend.
The AGM will be held for the purpose of considering and, if thought fit, passing the Resolutions set out in full in the Notice of Meeting sent to shareholders on 3 June 2021 and made available on the Company's website. Given the restricted attendance, there will be no discussion and no opportunity for questions at the AGM.
Shareholders can email their questions to martha@brucewallace.co.uk in advance of the AGM and the Company may publish an AGM questions and answers section on the Company's website, www.huwplc.com.
Given the restrictions on attendance, the Company strongly encourages all shareholders to complete and return a Form of Proxy to ensure that their votes are included, appointing the Chairman as their proxy as no other person will be able to attend the AGM as proxy on their behalf. Personalised Forms of Proxy have already been sent to shareholders, but further copies can be requested by emailing martha@brucewallace.co.uk.
Shareholders are requested to complete the Form of Proxy in accordance with the instructions printed on it and to return it as soon as possible so as to be received by the Company's registrars, Neville Registrars Limited at Neville House, Steelpark Road, Halesowen, B62 8HD, no later than 12.30 p.m. on 25 June 2021. It is also permitted for a completed, signed, and scanned copy of the form to be emailed to info@nevilleregistrars.co.uk. In addition, shareholders that hold shares in CREST may appoint a proxy by completing and transmitting a CREST Proxy Instruction to the Registrars (Crest Participant ID: 7RA11) so that the instruction is received by no later than 12.30 p.m. on 25 June 2021.
