Conversion of Convertible Loan Notes
Hemogenyx Pharmaceuticals plc (LSE: HEMO) announces that it has received a conversion notice from Mint Capital Advisors Ltd in respect of £500,000 in principal amount of the Convertible Loan Notes issued by the Company on 3 February 2021.
Pursuant to the conversion, the Company will issue, in aggregate, 22,222,222 new ordinary shares of £0.01 each in the capital of the Company (the "New Ordinary Shares") at a conversion price of £0.0225 per Ordinary Share.
Application will be made to the Financial Conduct Authority and to the London Stock Exchange for the admission of the New Ordinary Shares to the standard segment of the Official List and to trading on the London Stock Exchange's main market for listed securities, respectively ("Admission"). It is expected that Admission will occur at 8.00 a.m. on or around 17 May 2021. The New Ordinary Shares will rank pari passu with the existing issued Ordinary Shares in the Company.
The Company does not have any immediate plans for further drawdowns from the Convertible Notes Facility.
Total Voting Rights
Following Admission of the New Ordinary Shares, the Company will have 546,415,988 Ordinary Shares of £0.01 each in issue with voting rights. The Company does not hold any shares in treasury. This figure may then be used by shareholders in the Company as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
Unless defined herein, or the context requires otherwise, capitalised terms used in this announcement carry the same meaning as those ascribed to them in the Company's announcement of 18 November 2020.
