Appointment of a New Non-Executive Director

The Board of Henderson Diversified Income Limited (the "Company") announces that Mr Ian Wright has been appointed as a non-executive director with effect from 23 November 2015.

Mr Paul Manduca, Chairman of the Company said "the Directors and I are delighted that Mr Wright has agreed to join us bringing to the Board his valuable experience from his extensive career in accounting and regulatory bodies".

This appointment is made in the context of the Board's succession plans and, in line with the Company's succession planning policy as highlighted in the 2014 Annual Report, the Board considered that Mr Wright's background, experience, skills and knowledge was complementary and beneficial to the balance of the Board.

Mr Wright is a Commissioner of the Jersey Financial Services Commission and chairman of its audit committee. He is also Deputy Chairman of the Financial Reporting Review Panel which is part of the UK Financial Reporting Council. He is a Chartered Accountant.

Previously he was an audit partner in Price Waterhouse and then PriceWaterhouseCoopers including serving as the Senior Partner of the firm's international accounting consulting group. A founder member of the IFRS Interpretations Committee he has also served on professional committees of the ICAEW and FEE.

In accordance with paragraphs 9.6.13 (1) to (6) of the Listing Rules, it is confirmed that there are no additional details to be disclosed in relation to Mr Wright.
