Reduction of Stated Capital Account

The application by Henderson Diversified Income Limited (the 'Company') for a
reduction of its stated capital account has been approved by the Royal Court of
Jersey (the 'Court') on 5 October 2007.

The Court ordered that the Company's stated capital account be reduced by
£39,831,750. The whole amount of the reduced capital (less a retention pending
payment of specified creditors) was transferred to the distributable reserves of
the Company to be available for distribution as distributable profits to
shareholders at such time and in such manner as the directors may determine,
including by way of repurchase of shares pursuant to Article 57 of the Companies
(Jersey) Law 1991. The stated capital of the Company following the reduction is
£2.
