Henderson Diversified Income Limited (the "Company")

The Company has issued 60,227,978 new shares since it published a share issue prospectus on 14 January 2014, taking its market capitalisation to £141,957,218. The Company has used its prospectus authority and is close to exhausting its allowance to issue shares equivalent of up to 10% of its issued share capital without a prospectus. In order to continue to meet ongoing market demand, the Company intends to publish another prospectus in early 2015 (and seek the relevant shareholder permission) to be able to continue to issue shares over the next 12 months in the manner it has been doing.
