In accordance with Rule 5.6.1 of the Disclosure and Transparency Rules ('the Rules'), we would like to notify the market of the following:

The capital of Henderson Diversified Income Limited, as at the close of business on 31 October 2016, consisted of 174,868,240 Ordinary Shares with voting rights. The Company does not hold any shares in treasury. Therefore, the total number of voting rights in Henderson Diversified Income Limited is 174,868,240. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson Diversified Income Limited under the Rules.
