Market purchase by the Company of its own shares

Notification is given that, pursuant to the authority granted at the Annual General Meeting of the Company held on 4 October 2022 to make market purchases of the Company's own shares of 1p, a market purchase of 92,441 ordinary shares in the capital of the Company was made today at a price of 61.4088 per share to be held in treasury.

Following the above purchase, the Company's issued ordinary share capital will be 187,434,303 ordinary shares of 1p each of which 5,301,095 shares are held in treasury and have no voting rights. Therefore, the total number of voting rights in the Company is 182,133,208.

The above figure (182,133,208) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson Diversified Income Trust plc under the FCA's Disclosure Guidance and Transparency Rules.
