Resolution

Dividend on the Ordinary Shares

The Board have today declared that a second interim dividend of 0.5p per
Ordinary Share, in respect of the year ended 31 July 2002, be paid on 9 July
2002 to holders registered at the close of business on 14 June 2002. The
Company's shares will go ex-dividend on 12 June 2002.'
