Voting Rights and Capital

In accordance with Rule 5.6.1 of the Disclosure and Transparency Rules ('the Rules'), we would like to notify the market of the following:

The capital of Henderson Far East Income Limited, as at 30 October 2015, consisted of 113,010,564 Ordinary Shares with voting rights. The Company does not hold any shares in treasury. Therefore, the total number of voting rights in Henderson Far East Income Limited was 113,010,564.

Further to the Issue of Equity announcement released on 30 October 2015, 50,000 Ordinary Shares were issued for cash on 2 November 2015. Therefore as at 2 November 2015 the issued share capital is 113,060,564 Ordinary Shares and the total number of voting rights in Henderson Far East Income Limited is 113,060,564.

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson Far East Income Limited under the Rules.
