                          Issue of New Ordinary Shares


The Board of Henderson High Income Trust plc announces that 16,147,946 New
Ordinary Shares of 5p each will be issued in connection with the reconstruction
of Martin Currie Income & Growth Trust plc.


Application has been made to the UK Listing Authority to list the New Ordinary
Shares on the Official List. The New Ordinary Shares will be issued at 183.1
pence per share to holders of MCIGT who elected, or were deemed to have elected,
to receive them.


The New Ordinary shares will rank pari passu with the existing shares. As a
result of the issue, the Company will have 85,835,744 shares in issue.


Dealings in the New Ordinary Shares are expected to commence at 8 a.m. on 1 May
2007.


Terms used in this announcement shall, unless the context requires otherwise,
bear the same meaning given to them in the Company's circular to shareholders
dated 22 March 2007.



The Board of Henderson High Income Trust plc would like to take this opportunity
to welcome in excess of 600 new shareholders to the Company.
