LR 12.6.4 - NOTIFICATION OF SALE OF SHARES OUT OF TREASURY

Henderson High Income Trust plc (the "Company") announces that 150,000 ordinary shares of 5p each held by the Company in treasury have today been sold at a price of 101.5p per ordinary share.

Following the above sale, the Company has 250,000 ordinary shares still held in treasury.  The total number of ordinary shares in issue (including treasury shares) is 85,835,744. The total number of ordinary shares in issue with voting rights (excluding treasury shares) is 85,585,744.

The above figure (85,585,744) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson High Income Trust plc under the FSA's Disclosure and Transparency Rules.
