ANNUAL GENERAL MEETING

Henderson High Income Trust plc hereby gives notification that at the Annual General Meeting of the Company held today all the resolutions, as set out in full in the Notice of meeting dated 18 March 2010, were duly passed on a show of hands.    These included an ordinary resolution that the Company continue as an investment trust. Four of the resolutions were special resolutions, one of which authorises the Company to make market purchases of up to 12,829,303 of its own ordinary shares (ie 14.99% of the issued share capital at today's date).

The full text of the resolutions can be found in the Notice of Annual General Meeting contained in the Report & Financial Statements for the year ended 31 December 2009, copies of which are available for viewing at the Document Disclosure Department of the Financial Services Authority.
