ANNUAL GENERAL MEETING

Henderson High Income Trust plc hereby gives notification that at the Annual General Meeting of the Company held today all the resolutions, as set out in full in the Notice of meeting dated 21 March 2011, were duly passed on a show of hands.    Three of the resolutions were special resolutions, one of which authorises the Company to make market purchases of up to 13,372,690 of its own ordinary shares (ie 14.99% of the issued share capital at today's date).
