Henderson High Income Trust plc ('the Company') announces that
at the Extraordinary General Meeting of the Company held this
morning the special resolution was duly passed.  The special
resolution authorises the reorganisation of the Company's
share capital, as set out in the Circular to shareholders of
21 July 2000; it also authorises market purchases by the
Company of its own new ordinary shares.
