General Meeting held on 18 November 2013

Henderson International Income Trust plc announces that at the General Meeting of the Company's shareholders held today, Ordinary Resolutions 1 and 2 to allot C shares and Ordinary shares, and Special Resolutions 3 and 5 to make non pre-emptive allotments of C shares for cash and to make changes to the Company's Articles of Association, were all passed on a show of hands. Special Resolution 4, seeking authority to make non pre-emptive allotments of Ordinary shares for cash, was approved following a poll.
