ALLOTMENT OF SHARES

Henderson Opportunities Trust plc (the "Company") announces that it has agreed to allot 20 new Ordinary shares under its block listing facility in satisfaction of a request to convert 20 Subscription shares.

The total number of Ordinary shares in issue following the allotment on 2 April 2013 will be 7,965,188.  The Company also has 1,639,652 Subscription shares in issue.

Each Ordinary share has one vote; therefore the total number of voting rights in the Company following the allotment will be 7,965,188.

The above figure (7,965,188) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson Opportunities Trust plc under the FSA's Disclosure and Transparency Rules.
