Change of Chairman

Henderson Strata Investments plc announces that Mr F H ten Bos will retire as
Chairman and as a director of the Company on 30 April 2004. He will be succeeded
as Chairman on that day by Mr G B Burnett.

George Burnett, who is aged 57, has been a non-executive director of Henderson
Strata Investments plc since 28 June 1995. He is Chief Executive of Ashtead
Group plc.
