SUBSCRIPTION SHARES

FINAL CONVERSION OPPORTUNITY

The deadline for holders of subscription shares (the "Subscription Shares") in Henderson Opportunities Trust PLC (the "Company") to notify their intention to exercise their subscription rights was 2.30pm today, 28 April 2014 (the "Final Exercise Deadline").

Subject to shareholders approving the relevant resolutions proposed at the Class Meeting and Annual General Meeting (the "AGM") to be held tomorrow, 29 April 2014 from 2.15pm, a trustee will be appointed, over the outstanding Subscription Shares which have not been elected to be exercised, within 7 days of the AGM.

In accordance with the Subscription Share terms, the trustee will decide whether or not to exercise the outstanding Subscription Share rights within 14 days of the date of the AGM. To the extent not exercised by the trustee, Subscription Shares outstanding will be bought back by the Company for a nominal amount and cancelled.

The Company has requested that the UK Listing Authority suspend the listing of the Subscription Shares from 7.30 a.m. on 29 April 2014, following the passing of the Final Exercise Deadline.
