Voting Rights and Capital

In conformity with the requirements of the Transparency Directive, the Company notifies the market of the following:

As at 31 March 2011, the capital with voting rights of Henderson Opportunities Trust plc consists of 8,065,168 ordinary shares of 25p each.  The Company has no shares in treasury.

Therefore, the total number of voting rights in Henderson Opportunities Trust plc is 8,065,168.

The above figure (8,065,168) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Henderson Opportunities Trust plc under the FSA's Disclosure and Transparency Rules.

(The change during March 2011 was the result of the conversion of 1,081 subscription shares into 1,081 ordinary shares.  As at 31 March 2011 there were 1,639,672 subscription shares of 1p each in issue.)
