Share Buy-Backs


The Henderson Smaller Companies Investment Trust plc hereby gives notification
that at the Annual General Meeting of the Company held today all the
resolutions, as set out in full in the notice of meeting dated 23 July 2001,
were duly passed. One of the resolutions gave authority to the Company to make
market purchases of up to 23,382,147 ordinary shares (being 14.99% of the
ordinary shares in issue at 28 September 2001).


Retirement from the Board


As stated in the Company's annual report, Mr Eric C Elstob retires from the
board of directors on 28 September 2001.
