Circular and AGM Notice

The Henderson Smaller Companies Investment Trust plc announces that it has today  published a circular to shareholders setting out recommended proposals for modifications to the Company's investment policy and amendments to the Company's Articles of Association. The circular includes Notice of the Annual General Meeting to be held on Friday September 26 September 2008 at 11.30 am. The proposals set out in the circular were outlined in the Company's Annual Financial Report for the year ended 31 May 2008 that was announced on 13 August 2008.  The main modification to the investment policy is the proposal to allow investment in short positions.

Copies of the circular and of the forms of proxy for use in respect of the Annual General Meeting will be available for inspection shortly at the UKLA's Document Viewing Facility:
