                 Annual General Meeting
                           
The  Henderson  Smaller Companies  Investment  Trust  plc
hereby  gives  notification that at  the  Annual  General
Meeting of the Company held today all the resolutions, as
set  out  in full in the notice of meeting dated 28  July
2000,  were  duly  passed.  One of the  resolutions  gave
authority to the Company to make market purchases  of  up
to  25,538,623  ordinary  shares  (being  14.99%  of  the
ordinary shares in issue at 28 July 2000).
