                             Annual General Meeting

The Henderson Smaller Companies Investment Trust plc hereby gives notification
that, at the Annual General Meeting of the Company held earlier today, all the
resolutions, as set out in full in the notice of meeting dated 9 July 2004, were
duly passed. One of the resolutions, that the Company continue as an investment
trust, was an ordinary resolution. Two of the resolutions were special
resolutions, one of which gave authority to the Company to make market purchases
of its own shares up to a maximum of 16,570,221 ordinary shares (being 14.99% of
the ordinary shares in issue at 24 September 2004).

Commenting on the passing of the continuation vote the Chairman, Dudley
Fishburn, said: 'We welcome the support of a clear majority of our shareholders
for the continuation of the Company as an investment trust. We look forward to
further strong investment performance under the management of Neil Hermon and
his team at Henderson'.
