Annual General Meeting held on 26 September 2008

The Henderson Smaller Companies Investment Trust plc announces that, at the Annual General Meeting held earlier today, all the resolutions put to the meeting were duly passed. As announced on 22 September 2008, two resolutions set out in the Notice of Annual General Meeting were withdrawn.  The resolutions that were passed included three special resolutions, one of which gives authority to the Company to make market purchases of its own ordinary shares up to a maximum of 14.99% of the issued share capital (equivalent to 11,751,717 ordinary shares as at 26 September 2008).
