Director and Pension Scheme Dealings
The directors of Henry Boot PLC ('the Company') have been advised that the
family trusts of Mr J.S. Reis, a director of the Company, and the Henry Boot
Staff Pension & Life Assurance Scheme ('the Pension Scheme') yesterday sold the
following Ordinary Shares of 10 pence each in the share capital of the Company
at a price of 1,240 pence per share.

In each case, the trustees have stated that they have been obliged to take this
action due to the out-performance of the Company's shares compared with other
assets held, which in the case of the Pension Scheme has resulted in the value
of the holding exceeding the statutory 5% limit for Employer Related
Investments.
