HENRY BOOT PLC ('the Company')

Notification of transactions by a Person Discharging Managerial Responsibilities

The Company has today been advised of the following transactions in the ordinary shares of 10 pence each in the issued share capital of the Company ("Ordinary Shares") by Mr. John Reis, Non-executive Chairman, which took place on 15 June 2010 in Tunbridge Wells:

(i)

a transfer by way of gift of 350,000 Ordinary Shares to Mr. Reis' wife, which results in no change to his beneficial interest, and

(ii)

a transfer by way of gift of 330,000 Ordinary Shares to a new family trust of which Mr. Reis' children and grandchildren will be the primary beneficiaries, with the shares registered in the joint names of himself, Mr. P.J.M. Scott and Mr. J.J. Sykes as Trustees.  This transaction has the effect of decreasing Mr. Reis' beneficial interest and increasing his non-beneficial interest by 330,000 Ordinary Shares.

As a result of the above transactions, the total beneficial and non-beneficial interests of Mr. John Reis in the Ordinary Shares are now as follows:
