Holding in Company



Henry Boot PLC has today been formally advised that the ordinary shares in the
company held in the joint names of 'Rysaffe Nominees and Mr J A Hume', which
total 4,441,400 shares and constitute 17.05% of the number of shares in issue,
are now held in the joint names of  'Rysaffe Nominees and Mr J J Sykes'
consequent upon the appointment of a new trustee. As reported under 'Substantial
Shareholdings' in the Report of Directors of the Henry Boot PLC Annual Report,
these shares are held on behalf of various family trusts relating to Mr J S
Reis, a director of the company, a number of which are also included in his
interests as a director, none of which have changed as a result of the above
reported event.
