Notification of Major Interest in Shares - Mr. Jonathan H. Boot

Henry Boot PLC has today been informed by Mr. Jonathan H. Boot, a substantial
shareholder, that he sold 10,000 ordinary shares on Friday 14th January 2005 at
a price of 458 pence per share and accordingly his beneficial interest is now
760,382 ordinary shares and his non-beneficial interest remains at 186,584
ordinary shares which constitute respectively 2.92% and 0.71% of the number of
shares in issue, a total of 3.63%.
