Herald Investment Trust plc - Transactions and compliance with the Model Code

Herald Investment Trust plc (the "Company") announces in accordance with Listing Rule 15.5.1 (4) that:

1. Although the Company has entered a close period, running from the end of the financial year (31 December 2013) to the date for the announcement of results for that period;

2. The Company's Board is satisfied that all inside information which the directors and the Company may have had has previously been issued to a RIS.

Accordingly, the Company, its directors and anybody regarded as a connected person will be permitted to deal in the Company's shares during the close period, so long as no inside information comes to light subsequent to this announcement.
