HSBC Infrastructure Company Limited (the 'Company' or 'HICL')

Consideration of Scrip Dividend

As a result of a number of recent meetings with shareholders and investors, the Board of HICL is aware of interest from shareholders and potential investors for a scrip dividend alternative to be made available for future distributions by the Company. Accordingly the Board intends to give consideration for allowing shareholders to elect to receive future dividends in the form of further shares in the Company rather than cash. The Board has not made any final decision on this matter and is currently consulting with advisers. In any event the Board would not seek to introduce scrip dividend alternatives without the prior approval of the Company's shareholders. In the event that it was decided to proceed, such approval might be sought at the Company's next Annual General Meeting, which is expected to be held in July.
