CONVERSION BETWEEN SHARE CLASSES & ADMISSION OF NEW SHARES

Conversion requests

The table below summarises the aggregate number of shares of each class in relation to which the Company has received requests to convert such shares into shares of another class with effect from 1 December 2010 (the "Conversion Day").

From Sterling Shares to Euro Shares                                                                          93,080

Conversion ratios

The net asset value per share of each class as at the Conversion Day was as follows:

£1.6308 in the case of Sterling Shares

€1.5742 in the case of Euro Shares

$1.5752 in the case of US Dollar Shares

The spot conversion rate used for this conversion was:

GBP / USD : 1.5568

GBP / EUR : 1.1968

EUR / USD : 1.3009

On the basis of the above, the conversion ratios are as follows:

1.239761 Euro Shares for every one Sterling Share

1.611746 US Dollar Shares for every one Sterling Share

0.620344 Sterling Shares for every one US Dollar Share

0.769177 Euro Shares for every one US Dollar Share

Admission of new shares

Application has been made for 872,773 US Dollar Shares and 124,251 Euro Shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange.  It is expected that such listing will become effective and that dealings in such shares will commence on 13 January 2011.

Results of conversion

With effect from 13 January 2011, the issued share capital of the Company will be as follows:

Sterling Shares:            505,840,176

Euro Shares:                 13,360,975

US$ Shares:                 61,803,190

All shareholders have equal voting rights based on the number of shares held. Accordingly, the total number of voting rights in the Company is 580,554,341 (excluding 450,000 Sterling Shares held in treasury) and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
