CONVERSION BETWEEN SHARE CLASSES & ADMISSION OF NEW SHARES
Conversion requests
The table below summarises the aggregate number of shares of each class in relation to which the Company has received requests to convert such shares into shares of another class with effect from 3 June 2013 (the "Conversion Day").
From Sterling Shares to Euro Shares 9,402
From Euro Shares to Sterling Shares 735,970
From US Dollar Shares to Sterling Shares 4,797,613
Conversion ratios
The net asset value per share of each class as at the Conversion Day was as follows:
£1.8230 in the case of Sterling Shares
€1.7583 in the case of Euro Shares
$1.7417 in the case of US Dollar Shares
The spot conversion rates used for these conversions were:
GBP/EUR: 1.1696
EUR/GBP: 0.8550
USD/GBP: 0.6587
On the basis of the above, the conversion ratios are as follows:
1.212508 Euro Shares for every one Sterling Share
0.824615 Sterling Shares for every one Euro Share
0.629300 Sterling Shares for every one US Dollar Share
Admission of new shares
Application has been made for 3,616,627 Sterling Shares to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange. It is expected that such listing will become effective and that dealings in such shares will commence on 11 July 2013.
Results of conversion
With effect from 11 July 2013, the issued share capital of the Company (excluding 30,319,797 Sterling shares held in treasury and subject to there being no further transactions in the Company's shares during the intervening period in accordance with the share buy back programme announced on 28 May 2012) will be as follows:
Sterling Shares: 474,668,035
Euro Shares: 8,687,526
US Dollar Shares: 119,151,694
All shareholders have equal voting rights based on the number of shares held. Accordingly, the total number of voting rights in the Company is 602,507255 (excluding 30,319,797 Sterling Shares held in treasury and subject to there being no further transactions in the Company's shares during the intervening period in accordance with the share buy back programme announced on 28 May 2012) and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
