Notification of substantial Shareholding

Highcroft Investment Trust PLC

The Company has today received notification that Common and Garden Properties
Ltd., part of D G & M B Conn and Associates, purchased 5,722 ordinary 25p
shares on 3 April 2001. Following this purchase, D G & M B Conn Associates now
has a notifiable interest in 413,378 ordinary 25p shares of Highcroft
Investment Trust which represent approximately 8 per cent of the issued share
capital as at today's date.
