Global Offer (the 'Global Offer') of 51,311,193 ordinary shares of 10 pence each
 of the Company at a price of 290 pence per Ordinary Share (with over-allotment
          arrangements in respect of up to 2,565,560 Ordinary Shares)



The Company announces that it has filed with the Financial Services Authority
(the 'FSA') in accordance with Rule 3.2 of the Prospectus Rules of the FSA, a
prospectus relating to the Global Offer.
